| THE WARWICKSHIRE UNION OF GOLF CLUBS CONSTITUTION
NAME
1. The Union shall be called "The Warwickshire Union of Golf Clubs".
OBJECTS
2. The objects of the Union are to further the interests of amateur golfers and Golf Clubs in the former geographical County of Warwickshire (the County), to promote Golf Championships and Competitions, to arrange golf matches with other Counties and Associations,to observe and where required administer and promote the rules and regulations issued by the Royal and Ancient Golf Club of St. Andrews, to administer handicapping in accordance with national rules/ to assist and co-operate with the English Golf Union and Midland Golf Union, to form and administer any associate membership scheme within the County and generally to encourage the playing of golf in the County. The objects of the Union shall only be concerned with male amateur golf and shall comply with the rules and conditions of affiliation as laid down by the English Golf Union.
MEMBERSHIP
3. The Union shall consist of recognised Golf Clubs in the County whose membership of the Union shall be subject to the approval of the Executive Committee.
THE COUNCIL
4. The governing body of the Union shall be styled "the Council" and shall have the ultimate Authority of the Union.
5. The Council shall consist of the Executive Committee, the Vice Presidents and a representative of each club in the Union. Notification in writing of each club s representativeshall be given to the Secretary of the Union from time to time.
6. The Officers shall consist of the President, immediate Past President, a Secretary, a Treasurer, a Match Secretary, First and Second Team Captains, a Chairman of Junior Golf and a Manager of the County Membership Scheme who shall all be elected annually at the Annual Meeting of the Council.
7. The Vice Presidents shall all be elected annually at the Annual Meeting of the Council.
ANNUAL MEETING
8. The Annual Meeting of the Council shall be held not later than in March of each year. At such meeting eight members of the Council shall form a quorum. 21 days notice, in writing, of the meeting shall be given to each member of the Executive Committee each Vice President and each club in the Union the notice of meeting to contain a copy of the report and statement referred to in Rule 9(a) and 9(b) respectively the identity of the nominees referred to in Rule 9(c) and details of any special business referred to in Rule 9 (d). Notice of intention to move any resolution by any party entitled to attend the Annual Meeting must be received by the Secretary on or before the seventh day preceding the meeting.
9. The Annual Meeting of the Council shall:-
(a) receive the report of the Executive Committee on the affairs of the Union during the preceding year.
(b) receive the financial statement for the year ending on the preceding 31st October.
(c) elect the officers of the Union, members of the Executive Committee as required, the Vice Presidents and an auditor.
(d) transact any general business of the Union and such other special business of which notice shall have been given.
SPECIAL MEETINGS
10. A special meeting of the Council may be convened by the Secretary at any time and must be called at the request, in writing, of five clubs in the Union or of three members of the Executive Committee and 21 days notice in writing of the meeting shall be given by the Secretary to each party entitled to attend. At any such meeting eight members of the Council shall form a quorum.
EXECUTIVE COMMITTEE
11. The Executive Committee shall consist of the Officers and of three other members each of such three members being a member of a different club in the Union. The Executive Committee shall be elected annually at the Annual Meeting of the Council.
12. The Executive Committee shall submit nominations for the Executive Committee at each Annual General Meeting of the Council.
13. The Executive Committee may itself fill a vacancy occurring during any year and may co-opt additional members who may hold office until the next succeeding Annual General Meeting of the Council.
POWERS OF THE EXECUTIVE COMMITTEE
14. The Executive Committee shall conduct the affairs of the Union and deal with all matters arising in the intervals between the meetings of the Council.
15. The Executive Committee shall appoint a Chairman to preside over the meetings who shall hold office for one year.
In case of an equality of votes the Chairman shall have a second or casting vote.
16. Four members of the Executive Committee shall form a quorum.
17. Not less than seven days notice of all meetings shall be given by the Secretary to all members of the Executive Committee, and must be called by him at the request in writing of the Chairman or three members.
18. The Executive Committee shall annually elect representatives of the Union to the English Golf Union and the Midland Golf Union.
SUBSCRIPTIONS
19. Each club, being a member of the Union shall pay an annual subscription, to be determined by the Executive Committee. Subscriptions shall be due on the 1st November in each year, and no club whose subscription shall be in arrear on the 30th April following, or any of its members, shall be entitled during such arrears to vote or take part in any meetings or golf meetings, or competitions of the Union and furthermore during such period the official handicaps of the members of such club shall lapse if the national handicapping rules require holders of official handicaps to be members of a club affiliated to a County Golf Union.
RESIGNATIONS
20. Any club wishing to resign its membership shall give notice of such resignation in writing to the Secretary on or before the 31st December otherwise the club shall be liable to pay its subscription for the ensuing year.
26. All entries shall be made in accordance with the rules laid down by the Executive Committee from time to time.
27. All championships and competitions shall be played according to the Rules of Golf as approved by the Royal and Ancient Golf Club of St. Andrews, and the local rules of the club on whose course the meeting is to be held so far as they are approved or supplemented by the Executive Committee.
28. All conditions concerning championships and competitions and any disputes shall be settled by the Executive Committee or a sub-committee appointed for that purpose whose decision shall be final.
COLOURS
29. The colours of the Union shall be gold silver and blue and the ties and badges shall be of a design as approved by the Executive Committee. The right to wear such ties and badges shall be governed by regulations to be made by the Executive Committee from time to time.
TRUSTEES
30. The property of the Union shall be vested in three trustees who shall be appointed by the Executive Committee from time to time and shall be dealt with by them, as the Executive Committee may from time to time direct by resolution (of which an entry in the Minute Book shall be conclusive evidence).
31. The Trustees shall be indemnified against risk and expense out of the Union property. The Trustees shall hold office until death or resignation or until removed from office by the Executive Committee.
32. Where by reason of such death, resignation or removal, it is necessary that a new trustee or trustees be appointed, the Executive Committee shall nominate the person or persons to be
appointed the new trustee or trustees. For the purpose of giving effect to such nomination the President of the Union is hereby nominated as the person to appoint the new trustees of the Union within the meaning of Section 36 of the Trustee Act 1925 and he shall by deed duly appoint the person or persons so nominated by the Executive Committee.
ALTERATION TO RULES
33. No rule of the Union shall be repealed or altered and no new rule made except by a majority of two-thirds of the representatives present and voting at any meeting of the Council duly convened and held.
SANCTIONS
34. The Executive Committee shall have the right by resolution to sanction on such terms as it decides any club or member of any club whom it finds has acted contrary to the objects or interest of the Union or its members. Not less than twenty one days notice of the meeting at which such resolution is to be proposed shall be given to the members of the Executive Committee and the club or member concerned and such club or member or its representative shall be given the right to address such meeting before any resolution is put. Such club or member shall be entitled to appeal to the Council against any decision of the Executive Committee by notifying the Secretary, within fourteen days of the Executive Committee s resolution, of it s or his desire to address the Council. Following such notification the Secretary shall convene a special meeting of the Council as soon as practicable which such club or member or its representative shall be entitled to address. The decision of the Council on the matter shall be final.
