ANNUAL GENERAL MEETING

AT

COPT HEATH GOLF CLUB

on Wednesday 19 November 2003

at 10-30 am

Resolutions & propositions should reach the Hon Secretary on or before

22 October 2003 [ 28 days before the AGM ].

Nominations for members to the Committee should reach

the Hon Secretary on or before 5 November 2003,

[14 days before the AGM ].

ASSOCIATION AIMS

The WLCGA aims to promote and develop ladies golf at junior and senior levels, and to run competitions for the enjoyment and participation of all members.

Our lower handicap players would appreciate your support during County matches. Caddies would be welcomed.

CONSTITUTION AND RULES

W.L.C.G.A

1. Name.

The name of the Association shall be the Warwickshire Ladies County Golf Association, hereinafter referred to as “the Association”.

2. Objects.

The objects of the Association shall be:-

a. To abide by the Rules and Regulations of the English Ladies Golf Association (ELGA)

b. To promote and encourage ladies golf at all levels in the County

c. To arrange and regulate the County Championship , and all other competitions held under the auspices of the Association

d. To select and maintain the County teams

e. To be responsible for the election of the Warwickshire member of the Midlands Divisional Committee in accordance with ELGA regulations

f. To employ the funds of the Association in the best interests of ladies golf in the County

g. To make, maintain and publish such regulations as may be necessary for the above purposes

3. The Association shall consist of:-

a. Golf Clubs in Warwickshire affiliated to ELGA. All clubs becoming members of the Association are hereinafter referred to as “Affiliated Clubs”.

b. Lady members of Warwickshire clubs affiliated to ELGA and others who qualify under the county golf regulations of ELGA. All shall be amateur golfers.

c. Associate members who satisfy the conditions governing Associate Membership of County Associations under ELGA rules.

4. Management

The management of the Association shall be vested in the Committee. The following shall form the Committee:-

President

Captain

Honorary Secretary

Honorary Treasurer

Honorary Competition Secretary

who shall be Officers of the Association, and

Vice-Captain

Second Team Captain

Junior Organiser

Representative on the Midlands Committee of ELGA

3 further committee members

and the following co-opted members,

Handicap Adviser

Scratch Score Assessor

A Chairman shall be elected from the committee.

5. Term of Office

The term of office for the Officers and Committee Members shall be as follows:-

President - 3 years

Honorary Secretary - 3 years

Honorary Treasurer - 3 years

Honorary Competition Secretary - 3 years

Captain - 2 years

Vice-Captain - 1 year

Second Team Captain - 3 years

Junior Organiser - 5 years

Committee Members - 3 years

The term of office for the following committee members shall be as specified by ELGA:-

Representative on the Midlands Committee of ELGA

Handicap Advisor

Scratch Score Assessor

6. Re-election to, and replacement of officers and committee members,

a. The Honorary Treasurer, Honorary Secretary, Honorary Competition Secretary, Junior Organiser and Committee Members may stand for re-election for a further term of office but may serve no more than two consecutive terms.

b. If any Committee Member dies, or retires from office, or is unable to carry out her duties for any other reason, the Committee may appoint a replacement to hold office until the following Annual General Meeting.

7. Conduct and Powers of the Committee

Meetings

I The Committee shall meet as often as is deemed necessary.

A quorum shall consist of five members, one of whom must be an officer.

All members of the committee, except Co-opted members, shall have power to vote on all matters and the Chairman shall have a casting vote.

Powers

Except as otherwise stated, all powers of the Association shall be vested in the Committee,

and in particular the Committee shall have power to:-

Carry out all objects of the Association set out in these rules, other than those which can only be dealt with at a General Meeting

Delegate some or all of its duties as it thinks necessary to a Sub Committee

Order any affiliated club , player or member which, or who has been found guilty of any breach of the Rules or the Association, any misconduct on or off the golf course, or any serious or regular breach of the Rules of Golf to be:

Expelled from the organization or

Suspended for such period as the Committee consider appropriate, or

Declare a player no longer eligible for all or any competitions held by or on behalf of the Association for such period as the Committee consider appropriate.

Any Associated club or individual member dealt with under this rule shall have the right to appeal

to a Special General Meeting to be convened by the Hon. Secretary. Notice of the appeal must be

accompanied by a deposit of £200, which deposit shall be forfeited to the Association if such appeal fails.

The decision of the Special General Meeting will be final and binding on both parties.

Meetings of the Association

a. The Annual General Meeting shall be held in November. All members of the Association shall be entitled to attend.

b. The purposes of the meeting shall be as follows:-

i. To receive the reports of the year

ii. To receive the Statement of Accounts, duly audited.

iii. To elect the officers and members of the Committee

iv. To consider and adjust the rules

v. To decide on any resolution properly put to the meeting

c. Notice of the Annual General Meeting, with the Agenda, shall be sent to the Hon.Secretary of each affiliated club not less than 21 days before the Annual General Meeting. The accidental omission to give such notice to any person entitled thereto, or the non-receipt thereof, shall not invalidate the proceedings of any general meeting.

d. Nominations.

The Officers of the Committee shall be nominated by the Committee

e. All other nominations may be made by:-

i. The Committee, or

ii. Any affiliated club, or

iii. Any individual member

All nominations must be in writing and must reach the Hon Secretary not less than 14 days before the date of the Annual General Meeting.

f. Resolutions

The Committee, any affiliated club or individual member is entitled to put any resolution to the Annual General Meeting. All resolutions must be in writing and must reach the Hon Secretary not less than 28 days before the Annual General Meeting.

g. Constitutional Alterations

Any alteration to the Constitution of the Association must be passed by a two-third majority at an Annual General Meeting

h. Extraordinary General Meeting

The Hon Secretary shall convene an EGM at any time by order of the Committee or by written requisition of at least three affiliated clubs or one individual member plus two affiliated clubs. 21 days notice shall be given to members. Every such requisition shall specify the business for which such a meeting is to be convened, and no other business shall be transacted at such a meeting. The non-receipt or accidental omission of such notice to any member shall not invalidate the proceedings of the meeting nor any resolution passed thereat.

i. Voting

i. Every question, other than that referred to in 8h above, and 10 below, shall be decided by a simple majority

ii. Every question will be decided by a show of hands unless a ballot is directed by the Chairman of the meeting

iii. If there is equality of votes at a General Meeting the Chairman of the Meeting shall have a casting vote.

Accounts

The financial year of the Association shall run from 1st October to 30th September each year and the Honorary Treasurer shall prepare a Statement of Accounts for each financial year which will be duly audited.

10 Subscriptions

j. Each member of the Association shall pay an annual subscription of an amount approved from time to time at a General Meeting.

k. Each affiliated club shall pay an annual affiliation fee of an amount approved from time to time at a General Meeting together with an amount determined by the Midlands Division of ELGA.

l. Girls under the age of 18 on 1st January of the coming year, who are playing members of affiliated clubs, shall be exempt from the annual subscription.

m. The annual subscriptions and affiliation fees are due no later than 1st January each year.

Entrance Fees

Entrance fees for all events shall be fixed by the Committee

General

n. Decisions concerning Match and Team events, allocation of prizes, and all other details for any competitions or events shall be made by the Committee whose decision shall be final.

o. Qualification for County Colours. Any member who has played in 8 official Inter-County matches in the first team and has won 4 shall be awarded the appropriate county colours. Any member who has played in 6 official Inter County matches in the second team will be awarded the appropriate county colours.

Any Resolution for the dissolution of the Association shall be passed by a majority of two thirds of the votes properly recorded at a General Meeting. If such Resolution for the dissolution of the Association is passed, the Committee shall immediately, or at a future date specified in the Resolution, begin to realise the property of the Association, and after discharge of all liabilities shall transfer to ELGA or to such body as shall in the opinion of the Committee constitute the governing body of women’s golf in England at the time, and upon the completion of such transfer the Association shall be dissolved.

The Rules of the Game shall be the current Rules published by the Royal and Ancient
